Terms of Service
1. Scope of Agreement
These Terms of Service govern the professional relationship between JD LEWIS EDITORIAL SERVICES, LLC ("Agency", "we") and you ("Client"). By engaging our services, you agree to be bound by these terms. All services will be detailed in a formal Statement of Work (SOW) which forms part of this agreement.
2. Digital Marketing Service Conditions
We agree to provide our digital marketing services with professional skill and diligence. The Client understands that the digital marketing landscape is constantly changing, and therefore, specific results such as search engine rankings or conversion rates cannot be guaranteed. Our work is focused on implementing best-practice strategies to achieve the objectives outlined in the SOW.
3. Timelines and Deliverables
All project timelines provided are good-faith estimates. The Agency is not liable for delays caused by the Client's failure to provide timely feedback, assets, or necessary access. We will communicate any potential delays as soon as they become apparent.
4. Payment Terms
All fees and payment schedules will be outlined in the SOW. Payments for recurring services are due in advance of the service period. All payments made to the Agency are non-refundable. Late payments may result in a suspension of services until the account is settled.
5. Confidentiality
Both parties agree to hold all non-public information—including business strategies, campaign data, and client information—in strict confidence. This obligation of confidentiality shall survive the termination of our service agreement.
6. Legal Disclaimers & Limitation of Liability
Our services are provided on an "as-is" basis. In no event shall JD LEWIS EDITORIAL SERVICES, LLC be liable for any lost profits, or indirect, consequential, or special damages. The total liability of the Agency for any claim arising from our services shall not exceed the fees paid by the Client to the Agency in the three (3) months preceding the claim.
